1. About Umoja

Umoja Group Ltd ("Umoja", "we", "us", "our") is a company registered in England and Wales. We operate the Umoja platform at umojauk.app, which helps landlords achieve vacant possession of tenanted residential properties by incentivising tenant co-operation through financial rewards.

By creating an account or using the platform, you agree to these Terms of Service. If you do not agree, please do not use the platform.

Umoja connects three parties in a tenanted-property exit:

Umoja is not an estate agent, solicitor, or financial adviser. We facilitate the co-operation process between landlords and tenants. We do not provide legal, financial, or property valuation advice.

4. User Accounts

You are responsible for maintaining the security of your account credentials. You must not share your login details with anyone. You are responsible for all activity that occurs under your account.

You may sign in using email and password, or through social login providers (Google, LinkedIn, Facebook, TikTok, Instagram). When using social login, we receive your name and email address from the provider. We do not post to your social media accounts.

5. Fees and Payments

Umoja Activation Cost: The amount displayed at the time of property registration, paid by the landlord. This is non-refundable.

Umoja Service Fee: A regressive banded fee deducted from the Umoja Fund at the Funding Event. The rate decreases as the fund size increases.

Karibu Award: The tenant's share of the Karibu Fund, determined by their Umoja Score. Paid within 5 working days of the Funding Event and score finalisation.

Partner Incentive: A percentage of the Service Fee paid to the referring Umoja Partner on a Qualified Completion.

All payments are processed through Stripe. We do not store your card details. Full fee details are provided in the relevant agreement for your user type (Landlord Terms, Tenant Terms, or Partner Agreement).

In addition to these general Terms of Service, your use of the platform is governed by the specific terms for your role:

These role-specific terms are presented to you during registration and must be accepted before you can use the platform. In the event of any conflict between these Terms of Service and your role-specific terms, the role-specific terms shall prevail.

All content, branding, software, and design on the platform is owned by Umoja Group Ltd and protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any platform content without our written permission.

The Umoja Score methodology is proprietary to Umoja Group Ltd.

9. Limitation of Liability

To the maximum extent permitted by law:

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded.

10. Termination

You may close your account at any time by contacting us at [email protected]. We may suspend or terminate your account if you breach these terms or your role-specific terms.

Termination does not affect any accrued rights or obligations, including non-circumvention clauses which survive termination.

11. Changes to These Terms

We may update these terms from time to time. We will notify registered users of material changes by email. Continued use of the platform after changes constitutes acceptance of the updated terms.

12. Privacy

Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

13. Governing Law

These Terms of Service are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from these terms.
